1. Introduction & Acceptance of Terms

  • Content: Text, graphics, images, videos, and other materials provided by Syscom Media or Client.

3. Use of Website & Services

  • Users must provide accurate, complete, and timely information.
  • Clients must provide all materials, approvals, and access needed for campaign execution.
  • Unauthorized access, copying, or sharing of Syscom Media content is prohibited.
  • Syscom Media may monitor use to ensure compliance with these Terms.

4. Intellectual Property

  • All tools, designs, software, and materials provided by Syscom Media remain the property of Syscom Media unless explicitly transferred to Client.
  • Clients retain ownership of content they provide.
  • Users and Clients may not reproduce, distribute, or use Syscom Media content for commercial purposes without written consent.
  • Any third-party content used in campaigns (images, plugins, software) is licensed appropriately or used with Client approval.

5. Payments & Fees

  • All fees are payable per agreed invoice; fees exclude taxes unless stated.
  • Late payments may incur interest or collection costs.
  • Advance payments may be required; some payments may be non-refundable.

6. Limitation of Liability & Disclaimers

  • Services are provided on an “as is” basis. No guarantees of specific outcomes.
  • Syscom Media is not liable for indirect, incidental, or consequential damages, including loss of profits, business interruption, or data loss.
  • Use of third-party platforms, tools, or services integrated with campaigns is at Client’s own risk.

7. Indemnity

Clients agree to indemnify and hold Syscom Media harmless from claims, damages, or legal actions arising from:
  • Misuse of Website or services
  • Violation of intellectual property rights
  • Client-provided content

8. Termination & Suspension

  • Syscom Media may suspend or terminate services for violations of these Terms or non-payment.
  • Clients remain responsible for payment for all services rendered up to termination date.
  • Notice periods may apply for ongoing campaigns or projects.

9. Confidentiality

  • Both parties must maintain confidentiality of all sensitive business, campaign, and Client information.
  • Disclosure allowed only on a “need-to-know” basis and in compliance with applicable laws.

10. Governing Law & Dispute Resolution

  • Terms governed by the laws of India, including:
    • Information Technology Act, 2000
    • Digital Personal Data Protection Act, 2023
    • Indian Contract Act, 1872
  • Disputes subject to the exclusive jurisdiction of courts in Delhi, India.
  • Parties may agree to arbitration under the Arbitration & Conciliation Act, 1996.

11. Miscellaneous Policies

  • Electronic communications (emails, notices, invoices) are legally valid.
  • Users must refrain from using offensive, abusive, or inappropriate content.
  • Syscom Media may update these Terms at any time; continued use constitutes acceptance.
